Terms & Conditions
  1. Definitions:
    1. These Terms and Conditions are hereafter known as "Terms", and include the entire document provided here (www.stop-drop.com/legal) and any other documentation, contract, purchase agreement, or form that references this page.
    2. The company Stop Drop Sensors, LLC is hereafter known as "Seller".
    3. All customers of Seller are hereafter known as "Buyer" or "Buyers".
    4. Any item sold by Seller is hereafter referred to as "Product" generally, with the primary product, the Stop Drop Sensor, being referred to as any of the following where appropriate:
      1. "Stop Drop"
      2. "Stop Drop Sensor"
      3. "The Sensor"
    5. Any package(s) to which the Stop Drop Sensor is/are affixed will hereafter be known as "Package" or "Packages". These include any rectangular cardboard box of suitable construction for either shipment or moving purposes. Any container not meeting this definition is considered unsuitable for use with the Stop Drop Sensor.

  2. Applicability:
    1. These Terms apply to any transaction between Stop Drop Sensors, LLC ("Seller") and its customers ("Buyer"). The Terms are integral to any purchase agreement, invoice, order form, or other document(s) pertaining to the sale of, or the offer to sell, Seller's products. The placement of any order for Seller's products and/or the use of Seller's products implies an agreement to these Terms in full.
    2. Buyer's ability to purchase product from Seller is expressly predicated on Buyer's acceptance of these terms and conditions. Any purchase of product shall be considered a contractual agreement by Buyer to Seller's Terms as provided here (www.stop-drop.com/legal).

  3. Limitation of Seller's Liability:
    1. Seller shall not be liable for any general or special damages arising from the use or misuse of this product. No warranty is provided by Seller beyond replacement due to defects in manufacturing and is limited to a refund of the purchase price. Seller's warranty is exclusive of all other warranties, and any implied warranty of merchantability and/or implied warranty of fitness for a purpose is hereby disclaimed.
    2. Buyer is solely responsible for determining the suitability of Seller's products for a purpose intended by Buyer or Buyer's customers. Seller has tested products only as explained in Seller's product specifications. Buyer agrees not to use Seller's products in any way not specified by Seller's instructions and product descriptions. Buyer shall assume all responsibility for any claims, losses, damages, demands, and expenses incurred by the misuse of Seller's product, including the incorporation of Seller's product into other goods for sale by the Buyer.
    3. Seller does not authorize or otherwise endorse Buyer to make any modification or change to Product. Any changes or modifications made by Buyer to Product, which are not expressly approved by Seller, shall render any and all warranties invalid.
    4. The Stop Drop Sensor is intended only to monitor Packages and does not protect any shipment or its contents from damage. It is Buyer's responsibility to determine the suitability of an item for shipment and to properly package items for shipment, referencing shipping company guidelines. Seller does not claim to prevent damage by shipping or moving company negligence, and Buyer will not hold Seller accountable for any damage done to Packages that have used the Stop Drop Sensor. Seller does not ensure, promise, or otherwise guarantee to Buyer a positive resolution to any dispute filed between Buyer and a shipping or moving company. The Stop Drop Sensor is not recognized by any shipping or moving company as an authoritative source on determining fault in a damage claim. Any loss incurred by Buyer due to damage done to items shipped using the Stop Drop Sensor is Buyer's sole liability. Buyer agrees not to seek from Seller any reparations for loss, regardless of whether or not the Stop Drop Sensor activated during shipment.

  4. Warranty and Returns:
    1. Warranty
      1. Seller warrants Product against defects in materials or workmanship for a period of 90 days from the date of original sale. No warranty is provided by Seller beyond replacement due to defects in manufacturing and is limited to a refund of the purchase price. Seller's warranty is exclusive of all other warranties, and any implied warranty of merchantability and/or implied warranty of fitness for a purpose is hereby disclaimed.
    2. Warranty Returns
      1. If Product is deemed defective, Buyer may be issued a full refund of the purchase price or Product may be replaced with new, equivalent items. To make a warranty claim, submit a return merchandise authorization form by clicking here and mail the return merchandise to the following address:

        Product must be accompanied by original sales receipt. Once Product has been surrendered to the Stop Drop Returns department, it becomes the sole property of Stop Drop Sensors, LLC. Returned Product will not be reissued to Buyer under any circumstance. Product may be replaced with new, equivalent items, or refunded according to the return conditions herein specified. All shipments of returned merchandise must be postmarked within 10 days of completion of online return form.
    3. Non-Warranty Returns
      1. Seller provides a 30-day return window for non-warranty returns. Products purchased from the Stop Drop website may be returned, for any reason, for a full refund. If Buyer purchased Product from a third party retailer, Buyer must negotiate any return of Product with said third party directly. Non-warranty returns of Product purchased directly from Stop Drop Sensors, LLC may be initiated by submitting a return merchandise authorization (RMA) form by clicking here and mailing the return merchandise to the following address:

        Product must be returned in unused condition and accompanied by original packaging and sales receipt. A restocking fee of up to 15% will be charged for all non-warranty returns. Once Product has been surrendered to the Stop Drop Returns department, it becomes the sole property of Stop Drop Sensors, LLC. Returned Product will not be reissued to Buyer under any circumstance. Product may be replaced with new, equivalent items, or refunded according to the return conditions herein specified. All shipments of returned merchandise must be postmarked within 10 days of issuance of RMA number.

  5. Dispute Resolution:
    1. Buyer agrees to exhaust all of the following options and to perform all of the following obligations prior to initiating any lawsuit, arbitration, or civil action against Seller:
      1. Notify Seller in writing of problem. This notification should be made by certified mail with confirmation of Seller's receipt.
      2. Participate in good faith mediation using a mutually acceptable third party mediation group located in or near Salt Lake City, Utah. Should this mediation prove successful, any agreement decided upon therein shall be provided in writing and shall constitute the sole and only resolution to the conflict.
      3. If, after a period of ninety days, mediation does not result in a satisfactory conclusion for both parties, Buyer and Seller specifically agree to submit the dispute to arbitration in Salt Lake City, Utah, in accordance with the rules of the American Arbitration Association. Arbitration binding and final.

  6. Separability:
    1. Should any part of these Terms and Conditions be undermined by local law or determined to be invalid or unenforceable by any court of law, the remaining provisions shall be unaffected and shall remain in full force and effect.
